Abstract

Integracijski procesi su dio strategije rasta kojim poduzeća pristupaju kako bi ubrzali svoj eksterni rast. Predmet ovoga rada je teorijski prikaz procesa preuzimanja te na koji način spajanje i preuzimanje utječe na uspješnost poslovanja preuzimatelja.
Prehrambena industrija u Republici Hrvatskoj ima treći najveći multiplikativni učinak i prosječni udio u BDP-u iznosi 2,5%. Za analizu i pregled preuzimanja u prehrambenoj industriji Republike Hrvatske i odabranih zemalja Europske unije korištena je svjetski poznata baza Mergermarket i metoda komparacije.
Glavni cilj ovoga rada je usmjeren na analizu uspješnosti preuzimanja Žita d.d. od strane Podravke d.d. korištenjem financijskih izvještaja preuzimatelja i poduzeća–mete za izračun financijskih pokazatelja prije provedenog procesa preuzimanja, financijski izvještaji preuzimatelja nakon preuzimanja te ostalih relevantnih internetskih izvora kao i domaće baze podataka Finifo.

Abstract (english)

Integration processes are part of the growth strategy that companies use to accelerate the external growth. The subject of this paper is a theoretical presentation of the acquisition process and how merger and acquisition affect the business success of the acquirer.
The food industry in the Republic of Croatia has the third largest multiplier effect and the average share in GDP is 2.5%. The world-famous Mergermarket database and method of comparison were used to analyze acquisitions in the food industry of the Republic of Croatia and selected countries of the European Union.
The main objective of this paper is success analysis of acquisition of Žito d.d. by Podravka d.d. by using financial statements of the acquirer and the target company for calculation of financial indicators before the acquisition process, the financial statements of the acquirer after the acquisition and other relevant Internet sources as well as Finifo's domestic database.
