Abstract

Predmet ovog poslijediplomskog specijalističkog rada je analiza svrhe i zadaće funkcije regulatorne usklađenosti poslovanja.
Analizirana je razlika između korporativnog upravljanja i regulatorne usklađenosti te analiza temeljnih načela praćenja regulatorne usklađenosti pri čemu je procjena rizika temelj funkcije praćenja usklađenosti poslovanja budući da pravilna procjena rizika direktno utječe na rezultate poslovanja.
Nadalje, u analizi je obuhvaćena izrada plana rada i programa usklađenosti poslovanja kao preduvjeta regulatorne usklađenosti.
Poseban osvrt u radu dan je na Odluku o obvezi uvođenja funkcije praćenja usklađenosti u pravnim osobama u većinskom državnom vlasništvu te postupak prilagodbe hrvatskog zakonodavstva u području regulatorne usklađenosti poslovanja.
Na kraju je analizirana primjena funkcije regulatorne usklađenosti poslovanja u društvu HŽ INFRASTRUKTURA d.o.o. kroz način provedbe, usporedbe s drugim kontrolnim funkcijama u društvu, načinom rada i danim zadacima te su dane preporuke za buduće djelovanje i poboljšanje prakse u području regulatorne usklađenosti poslovanja.

Abstract (english)

The subject of this postgraduate specialist thesis is the analysis of the purpose and tasks of the regulatory compliance function.
The difference between corporate governance and regulatory compliance is also presented, as well as the analysis of the basic principles of regulatory compliance monitoring, where risk assessment is the basis of the compliance function, since proper risk assessment directly affects business results.
Furthermore, the analysis includes the development of a business compliance program as a prerequisite for regulatory compliance.
Special emphasis is placed on the Decision on the obligation to introduce a compliance monitoring function in majority state-owned legal entities and the procedure for adjusting Croatian legislation in the field of regulatory compliance.
Finally, the application of the regulatory compliance function in HŽ INFRASTRUKTURA d.o.o. is presented through the manner of implementation, comparisons with other control functions in the company, the way of work and given tasks.
Recommendations are given for future action and improvement of practice in the field of regulatory compliance.
