Abstract

Predmetno poduzeće osnovano je u Republici Hrvatskoj sredinom 1990-ih godina, trenutno zapošljava preko 170 zaposlenih na 3 lokacije, a bavi se istraživanjem, razvojem i proizvodnjom visokotehnoloških sustava za željeznicu. Predmet rada je strategijska dijagnostička analiza i vrednovanje izabranog poduzeća u industriji visoke tehnologije. Nadalje, cilj rada je strategijskom analizom izabranog predmetnog poduzeća, temeljenom na top-down pristupu analizi, utvrditi stanje, položaj i djelovanje poduzeća te provesti procjenu vrijednosti korištenjem izabranih metoda vrednovanja. U prvom dijelu rada postavljena je teorijska podloga o strategiji i strategijskom upravljanju te vrijednosti poduzeća, dok je u nastavku provedena analiza vanjskog okruženja poduzeća korištenjem PESTLE analize, modela Porterovih 5 sila, strategijske grupe predmetnog poduzeća te su razmotreni scenariji razvoje predmetne industrije. Analiza unutarnjeg okruženja poduzeća dotaknula se povijesnog razvoja poduzeća te je provedena porterijanska analiza poduzeća, što podrazumijeva analizu lanca vrijednosti, generičkih strategija te konkurentskih prednosti poduzeća. Financijska analiza poduzeća provedena je u sklopu analize unutarnjeg okruženja poduzeća, no može se svrstati uz posljednje poglavlje koje se bavi procjenom vrijednosti predmetnog poduzeća odabranim metodama vrednovanja. Kao podloga za vrednovanje su poslužili analiza financijskih izvještaja i financijskih pokazatelja, fundamentalnih činitelja vrijednosti poduzeća te prognoza financijskih izvještaja za buduće razdoblje. Sinteza svih analiza i donesenih zaključaka u radu rezultirat će procjenom vrijednosti predmetnog poduzeća.

Abstract (english)

The company in question was founded in mid 1990s and is currently employing over 170 employees in 3 locations, its core business is research, development and production of high technology systems in railway industry. The subject of the thesis is strategic diagnostic analysis and valuation of a high technology firm. Furthermore, primary goal of the thesis is to determine the condition, position, impact and value of the company by conducting a strategic diagnostic analysis based on the top-down approach. The first part of the thesis sets the theoretical background on strategy, strategic management and the value of the company. Moving on, an analysis of the company's external environment was carried out using PESTLE analysis, Porter's 5 forces model, the strategic group of the company in question, and the development scenarios of the industry in question. The analysis of the internal environment of the company touched upon the historical development of the company and a Porterian analysis of the company was carried out, which includes the analysis of the value chain, generic strategies and competitive advantages of the company. The financial analysis of the company was carried out as part of the analysis of the company's internal environment, but it can be classified as a part of the last chapter, which deals with the assessment of the value of the company in question using selected valuation methods. The analysis of financial statements and financial indicators, fundamental factors of the company's value, and the forecast of financial statements for the future period served as the basis for valuation. The synthesis of all analyzes and conclusions reached in the paper will result in an assessment of the value of the company in question.
