Abstract

U uvjetima nestabilnog poslovnog okruženja sve se veći broj poduzeća odlučuje na integracijske procese kako bi postigli sinergijske učinke, diferencirali se u odnosu na konkurenciju te postigli dugoročnu održivost poslovanja. Integracijski procesi oblici su preuzimanja kontrole nad nekim poslovnim subjektom, a općenito se javljaju u obliku spajanja, preuzimanja i strateških saveza.

Prehrambena industrija je jedna od najvećih industrijskih grana u Republici Hrvatskoj i zauzima značajan udjel u bruto domaćem proizvodu i ukupnoj zaposlenosti od ostalih grana prerađivačke industrije. Za analizu i pregled preuzimanja u prehrambenoj industriji kao i industriji smrznute hrane Republike Hrvatske i odabranih zemalja Europske Unije korištena je svjetski poznata baza Mergermarket i metoda komparacije. Osim toga, u radu je analizirana uspješnost preuzimanja Leda plus d.o.o. od strane Nomad Foods-a procjenom vrijednosti poduzeća Ledo plus d.o.o. prije i nakon COVID-19 krize korištenjem metode usporedivih transakcija.

Abstract (english)

In the unstable business environment, an increasing number of companies decide on integration processes in order to achieve synergy effects, differentiate in relation to the competition and achieve long-term business sustainability. Integration processes are forms of taking control of a business entity, and generally occur in the form of mergers, acquisitions and strategic alliances.

The food industry is one of the largest industries in the Republic of Croatia and contributes with largest share in Croatia's gross domestic product and total employment of other branches of manufacturing industries. The world-famous Mergermarket database and comparison method are used for the analysis and review of acquisitions in the food and frozen food industry of the Republic of Croatia and selected countries of the European Union. In addition, the paper will analyze the success of the takeover of Ledo by Nomad Foods based on the valuation of Ledo plus d.o.o. before and after the COVID-19 crisis by using comparable transaction method.
